Background
Bowmans advised FirstRand Bank Limited (acting through its Rand Merchant Bank division) (as lender) in connection with a English law governed revolving credit facility (the RCF) made available to Westbrooke Yield Plus Plc (a company incorporated in Jersey) (the borrower). The assets provided as security for this transaction were located in Jersey and Luxembourg. The purpose of the transaction was to refinance the borrower's existing indebtedness. The transaction was a cross‑boarder transaction involving English, Jersey and Luxembourg
counsel acting for both the lender and borrower.

Background
Bowmans advised Oikocredit Ecumenical Development Cooperative Society U.A. and Stichting Hivos‑Triodos Fonds (together, the lenders) in respect of an English law loan advanced to Sure Chill Company Limited (incorporated in the United Kingdom) (the borrower), which is guaranteed by Sure Chill Africa Ltd and Surechill Nigeria Company Limited (the guarantors). The guarantors together with the borrower were security providers in respect of the loan. The purpose of the transaction was to fund the purchase of equipment required for the business of the borrower.

Background
Bowmans Advised the Standard Bank of South Africa Limited (acting through its Corporate and Investment Banking division) and FirstRand Bank Limited (acting through its Rand Merchant Bank division) in respect of a syndicated ZAR 4 billion sustainability linked facility made available to Seriti Power Proprietary Limited. Bowmans further advised on the amendment and restatement of the facility documents as a consequence of the reorganisation of the Seriti Group and the establishment of its green energy company.
My Role

Background
Bowmans advised The Standard Bank of South Africa Limited (acting through its Isle of Man Branch) and The Standard Bank of South Africa Limited (acting through its Corporate and Investment Banking division) (the Finance Parties) on an English Law governed US$60,000,000 loan facility advanced to Meridiam Africa Investments 3 SAS (the Borrower), a wholly owned subsidiary of Merdiam Infrastructure Africa Fund II and Meridiam Infrastructure Africa Parallel Fund II SLP (the French Funds), for the discharge of a portion of the purchase price of the Okavango Kenya Mauritius Limited (OKML) shares held at the time by Actis Energy Okavango Holdings Mauritius Limited (Actis). Okavango Kenya Mauritius Limited (OKML) is the owner of Kipeto Energy PLC, a special purpose vehicle incorporated in Kenya for the development of sustainable wind energy.
The purpose of the transaction was for the lender, through the French Funds, to partially fund the acquisition of Kipeto Energy PLC, the second largest operating wind power project in Kenya which provides clean power to 250 000 homes. The transaction was a cross‑boarder transaction involving English, Mauritian and French counsel.
My Role

Background
Bowmans advised Absa Bank Limited (acting through its Corporate and Investment Banking Division) (as Original Lender, Mandated Lead Arranger, Security Agent, Original Issuing Bank and Agent) on a English Law Governed US$30,000,000 revolving loan facility and letter of credit facility advanced to Leapfrog Climate Fund, LP (acting through its general partner, Leapfrog Climate, GP LP, itself acting through its general partner Leapfrog Climate GP Ltd) (as borrower) for the borrower's general working capital expenditure and the acquisition of ongoing investments.
The purpose of the transaction was to fund Leapfrogʼs investments in companies combatting climate change in Africa and Asia and providing green tools and technologies to 50 million‑low income people. The transaction was a cross‑boarder transaction involving English and Mauritian counsel.

Background
Credit Suisse AG and Standard Charter Bank (as lenders) provide a term loan facility to Southgold Eastern Operations Proprietary Limited for purposes of its general working capital facilities.
My Role
Negotiating the addendum to the existing facility agreement to switch the reference rate from Libor to daily compounded SOFR.

GreenCo (2024)
Background
Bowmans advised Stanbic Bank Zambia and the Standard Bank of South Africa Limited (acting through its Corporate and Investment Banking division) on a USD 55.5 million facilities agreement with Africa GreenCo Group (GreenCo) through its newly incorporated Zambian subsidiary GreenCo Finance Solutions Limited (GreenCo FinanceCo) to finance power imports and alleviate Zambia’s energy crisis.
GreenCo FinanceCo used the facilities to prepay for over 130MW of electricity imports during the energy crisis in Zambia, alleviating the financial pressure on its clients to prepay for the power they need.
