1.JSE Equity Sponsor clients

1.1 Continuing obligations

• Provided guidance to clients regarding JSE Listings Requirements.
• Clarifying client queries with the JSE and facilitating discussions between clients and the JSE on complex matters to ensure compliance with the JSE Listings Requirements (including obtaining ruling requests from the JSE).
• Ensuring that clients comply with routine continuing obligations and including timely publication and submission of financial results.
• Drafting of routine announcements and facilitating review and sign off processes.
• Attending Board and Audit Committee meetings for AltX listed Issuers.
• Communicating any changes to the JSE Listings Requirements to clients and arranging information sessions for the client or board where requested.

1.2 Transactions and corporate actions:

• Provided guidance to clients regarding JSE Listings Requirements.
• Facilitated and drafted ruling requests based on client needs.

• Liaising with the JSE on approval processes and submission of all JSE related documents.

2. JSE Listed ETF and AMETFs

2.2 Continuing Obligations

• Ensuring that clients comply with routine continuing obligations and including timely publication and submission of financial results and release of quarterly distribution announcements.
• Managing Listing and delisting applications with the JSE and Strate.

2.2 Corporate Actions and New ETF and AMETF listings

• Drafting Programme Memorandum for new ETF and AMETF Issuer and all relevant supporting documents.
• Drafting Supplements for new ETFs and AMETFs
• Updating placing documents and supplements for relevant corporate actions
• Managing the review and approval processes with the JSE.
• Advising on and facilitating changes to existing ETFs where the Issuer dissolved, merged or renamed/rebranded the existing product.

3. Companies Act and Takeover Regulations

• Advising clients and interacting with the TRP directly where no legal advisor was appointed on Scheme of Arrangements to facilitate delisting, mandatory offers and specific share repurchases where TRP approval was required.
• Facilitated TRP ruling requests to ensure compliance with regulations.
• Drafting of relevant circulars, announcements and supporting documents.
• Co-ordinating and managing the JSE and TRP approval processes.

4. Sponsor Team Management

• Coordinated annual declarations and maintained regular communication with the JSE.
• Ensured that the team received updates on changes to the JSE Listings Requirements and arranged training sessions.
• Provided training to junior members of the team that entered the JSE Approved Executive programme.
• Internal administration duties in co-ordinating with the relevant departments in maintaining FICA records, sponsor fee management, and compliance.

5. African Bank Investment Banking (Credit Analyst Role since 2023)

• Credit analyst assisting with drafting of discussion and approval papers for Credit and Investment Committee.

• I joined the JSE sponsor team in 2010 and completed my JSE approved executive training in 2012.
• Performed similar duties to the current JSE Sponsor Executive role for African Bank Limited.
• Macquarie's sponsor clients included mostly mining clients, primary, dual listed or secondary listed on the JSE. The other exchanges included ASX, AIM, LSE, TSX and NASDAQ.
• Sponsor Clients included Atlatsa Resources Corporation, Basil Read Limited, Resource Generation Limited, Gold One International Limited.
• Notable transactions include Murray & Roberts category 1 acquisition - 2013 and Atlatsa Resources Restructuring Plan 2012
